1. Platform Services & Access

‍1.1 Aesthetic Sales Hero Platform includes software, online campus environments, AI-based training modules (including Bianca™), dashboards, course content, quizzes, gamification systems, analytics tools, and any related features.

1.2 Access is provided on a subscription, licensing, or custom service basis. Access is granted solely for your internal business use in the aesthetic, wellness, or healthcare fields unless otherwise agreed by ASH.

1.3 User Accounts
Each user must have a unique login. Account sharing is prohibited. You are responsible for maintaining confidentiality and preventing unauthorized access.

1.4 Campus & Add-On Services
Certain services (e.g., certifications, roleplay simulations, advanced dashboards) require campus hosting or technical deployment to operate properly.

2. Use Restrictions

‍You agree NOT to:
- Copy, modify, reverse engineer, resell, or replicate any part of the platform
- Use ASH to develop competing products, software, business models, or dashboards
- Train any external AI model using ASH content, workflows, or interactions
- Share ASH content beyond your organization without written permission
- Circumvent user limits, access controls, or subscription tiers
- Access the platform for illegal or unethical purposes

Aesthetic Sales Hero reserves the right to suspend access for suspected breach or misuse.

3. Professional & Medical Disclaimer

‍Aesthetic Sales Hero provides coaching, communication training, and operational support tools.
Aesthetic Sales Hero is not a medical provider and does not provide medical, legal, or regulatory advice.

‍Users agree to:
- Maintain compliance with all applicable healthcare regulations (HIPAA, FDA, state board requirements, etc.)
- Verify accuracy of treatment or medical guidance independently
- Not substitute ASH training for patient care or medical decisions

4. Payments & Billing

‍4.1 All fees are defined at checkout, contract, or commercial agreement. Subscription access renews automatically unless canceled in accordance with Section 14.

4.2 Refunds
Unless otherwise required by law or specified in writing, all fees are non-refundable once billed.

4.3 Late Payments
Past-due balances may result in suspension. Interest may accrue at 1.5% per month or the maximum allowed by law.

5. AI Tools & Training Simulations (e.g., Bianca AI™)

‍You agree that:
- AI interactions are for educational purposes only
- Conversations may be logged for accuracy tracking, platform improvement, and performance insights
- AI response accuracy cannot be guaranteed
- Regulatory or sensitive scenario use is subject to your discretion

6. Intellectual Property

‍6.1 Aesthetic Sales Hero retains all rights to its platform, codebase, simulations, dashboards, brands, curriculum, characters (including Bianca AI™ and avatars), workflows, and all underlying data models.

6.2 User-generated insights, quiz responses, or improvements remain part of the Aesthetic Sales Hero ecosystem unless otherwise stated.

6.3 You retain rights to any proprietary practice IP added within your private campus, except improvements made within Aesthetic Sales Hero technology layers.

6.4 Any derivative tools or content developed with Aesthetic Sales Hero support remain the property of Aesthetic Sales Hero unless expressly transferred in writing.

7. Data Use & Privacy

‍7.1 Each clinic or organization owns its own user data. Aggregated, anonymized analytics may be used by Aesthetic Sales Hero to improve platform performance and business insights.

7.2 Aesthetic Sales Hero maintains commercially reasonable cybersecurity, encryption, and protection measures.

7.3 Personal data handling complies with applicable laws including GDPR, CCPA, and CAN-SPAM.

8. Third-Party Access (Contractors, Agencies, Partners)

‍You must not allow third parties (consultants, marketing agencies, vendors) access to the platform without written approval from Aesthetic Sales Hero.

If authorized, such party must be subject to confidentiality and non-use obligations equal to these Terms.

You are responsible for any actions performed by parties you authorize.

9. Confidentiality

‍Non-public platform features, pricing, strategies, workflows, coaching methods, and business insights are confidential.

Confidentiality obligations survive your termination of services for five (5) years, and for trade secrets, for as long as such information remains a trade secret.

10. Marketing & Public Use of Name/Logos

‍You agree not to use Aesthetic Sales Hero trademarks, name, or branding without written approval. Aesthetic Sales Hero may reference customer usage for case studies unless you request exclusion in writing.

11. Termination

‍Either party may terminate their access or contract by providing thirty (30) days' written notice unless otherwise specified in a separate agreement.

Aesthetic Sales Hero may immediately terminate or suspend access in cases of:
Illegal conduct
IP infringement
Platform misuse
Nonpayment
Breach of these Terms

Upon termination, user access ceases, but accrued payment obligations remain due.

12. Limitation of Liability

‍Aesthetic Sales Hero is not liable for indirect, consequential, punitive, or lost-profit damages.

In no event shall Aesthetic Sales Hero's total aggregate liability exceed the fees paid in the prior twelve (12) months.

No additional warranties beyond those expressly stated herein.

13. Indemnification

‍You agree to defend, indemnify, and hold harmless Aesthetic Sales Hero from claims arising from:
- Your misuse of the platform
- Breach of law or regulation
- Unauthorized third-party access
- Violation of these Terms

14. Modifications to Terms

‍Aesthetic Sales Hero may update these Terms periodically by posting updated revisions. Changes become effective upon posting unless otherwise required by law.

Continued use constitutes acceptance.

15. Governing Law & Venue

‍These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Grapevine County/Texas, unless otherwise mutually agreed.

16. Miscellaneous

Entire Agreement – These Terms, together with any specific campus or commercial agreements, constitute the full understanding.
‍Assignment – Users may not assign rights without written consent from Aesthetic Sales Hero.
‍No Partnership – Partnership or joint venture is not created by these Terms.
‍Force Majeure – Aesthetic Sales Hero is not liable for failure due to causes beyond reasonable control.
